2024-2025 Seed Graders Cashback Program Terms & Conditions

1. The BASF Australia Ltd (BASF) Seed Graders Cashback Program (Program) will be conducted from 1 October 2024 to 30 June 2025 (Program Period).  Participation in the Program is deemed acceptance of these Terms and Conditions.
2. The Program aims to reward eligible seed graders who buy BASF Seed Treatment Products (being each of SYSTIVA®, COSMOS®, PONCHO® PLUS & ILeVO®) above certain volumes with a cash rebate as follows:

Registration in the Program 
3. In order to be eligible to participate in the Program, individuals/businesses must:
(a)    Be a sole trader or business who cleans, treats and processes seed (Seed Grader);
(b)    Be a registered member of the Independent Associated Seed Graders Inc (IASG) or be a Hannaford franchisee;
(c)    Complete the online registration form or have registered in the Program in a previous season.
A Seed Grader who meets the above criteria is an Eligible Entrant. 
4.    If they have not previously participated in the Program, Eligible Entrants must register for the Program before 20 December 2024 by completing the online registration form which is available through the following link: 2024-2025 BASF Seed Graders Program Registration | BASF Crop Solutions Australia.
An Eligible Entrant who has registered in accordance with the above steps either during the Program Period or previously is a Registered Participant.
Payment of Cashback 
5.    In order to receive any cashback from the Program, BASF Seed Treatment Products must be purchased from distributors, retailers and other authorised representatives during the Program Period (Eligible Purchases) and meet the Minimum Volume Requirement for each Product the Registered Entrant wishes to claim a cashback on.
6.    Subject to clause 9, cashbacks are calculated on the basis of total volume purchased during the Program Period in respect of each Product. 
7.    In order to receive a cashback, Registered Entrants must upload invoices from Eligible Purchases via this weblink 2024-2025 BASF Seed Graders Program Invoice Upload | BASF Crop Solutions Australia and otherwise complete the submission form (Claim Submissions).
8.    Claim Submissions must include all Products that the Registered Participant wishes to claim a cashback for and be submitted by either:
(a)    20 December 2024; or
(b)    31 July 2025.
9.    Eligible Purchases can only be claimed once. If a Registered Participant submits a Claim Submission on each date in clause 8, the total volume purchased is calculated based on total volume of Eligible Purchases provided in the relevant Claim Submission. 
10.    BASF will assess each Claim Submissions and determine the applicable cashback rate (if any). All decisions made by BASF will be final.
11.    Claim Submissions made on or before: 
(a)    20 December 2024 will be paid via EFT on or before 30 March 2025;
(b)    31 July 2025 will be paid via EFT on or before 30 September 2025.
12.    Registered Participants are advised that tax implications may arise from their cashback and they should seek independent financial advice prior to submitting their claim for a cashback. BASF accepts no responsibility for any tax implications that may arise from the Registered Participant receiving a cashback. Registered Participants are responsible for any and all expenses that they incur in entering the Program and they will not be reimbursed regardless of whether or not they meet the Minimum Volume Requirements. 
13.    BASF takes no responsibility for any incorrect financial institution information provided by a Registered Participant. If a Registered Participant’s financial institution information changes at any time during the Program Period, or before the receipt of a cashback from BASF, it is the sole responsibility of the Registered Participant to promptly notify BASF of any changes.
Use of Information 
14.    The collection and disclosure of personal information provided in connection with this Program will be handled in accordance with the BASF’s Privacy statement (https://www.basf.com/au/en/legal/data-protection) which adheres to the Privacy Act 1988 and Australian Privacy Principles. 
15.    Entrants consent to BASF using the personal information provided in connection with this Program for the purposes of facilitating the conduct of the Program and awarding any cashbacks, including to third parties involved in the promotion and any relevant authorities. In addition to any use that may be outlined in BASF’s Privacy Policy, BASF may, for an indefinite period, unless otherwise advised, use the private information for promotional, marketing, publicity, research and profiling purposes, including sending electronic messages or telephoning the Entrant. 
No Warranty or Liability 
16.    BASF may in its absolute discretion not accept a particular entry or may disqualify an entry at any time without giving reasons and without liability to any Registered Participant. Without limiting this clause, BASF reserves the right to verify the validity of registrations, Claim Submissions, and/or Entrants and to disqualify any Entrant who submits a registration or Claim Submissions that is misleading or not in accordance with these Terms and Conditions. Verification is at the discretion of BASF, whose decision is final. Failure by BASF to enforce any of its rights at any stage does not constitute a waiver of those rights. 
17.    BASF accepts no responsibility for any late, lost, delayed, incomplete, incorrectly submitted, corrupted, illegible or misdirected entries, claims or correspondence whether due to omission, error, alteration, tampering, deletion, theft, destruction, disruption to any communication network or medium, or otherwise including those claims not received by BASF for any reason.  BASF is not liable for any consequences of user error including (without limitation) costs incurred. No correspondence will be entered into. 
18.    To the greatest extent permitted by law, BASF excludes all warranties, representations or guarantees (Warranties) regarding the Program and any cashbacks, including any Warranties which may have been made in the course of advertising or promoting the Program. By entering the Program, an entrant releases and indemnifies BASF and its related bodies corporate (including the officers, employees and agents of each) from and against all actions, penalties, liabilities, claims or demands the entrant may have against BASF or that BASF may incur for any loss or damage which is or may be suffered or sustained as a direct or indirect result of an entrant entering or participating in the Program or claiming or failing to claim a cashback, except for any liability which cannot be excluded by law or which would cause any part of this clause to be void or unenforceable.  
19.    Without limiting any of the foregoing, in no circumstances will an entrant or BASF have any liability to the other for any loss or damage suffered which is indirect or consequential in nature, including without limitation any loss of profit, loss of reputation, loss of goodwill, or loss of business opportunity.  
20.    In the case of the intervention of any outside act, agent or event which prevents or significantly hinders BASF’s ability to proceed with the Program in the manner described in these Terms and Conditions, including but not limited to vandalism, natural disasters, acts of God, civil unrest, strike, war, act of terrorism, BASF’s obligations in respect of the Program will be suspended for the duration of the event and, in addition, BASF may in its absolute discretion cancel the Program and recommence it from the start on the same conditions, subject to approval of the relevant authorities.  
21.    If BASF, acting reasonably, cancels the Program, Registered Participants acknowledge and agree that there shall be no entitlement to any cashback payment on a pro-rated basis.
Governing Law
22.    The Program and these Terms and Conditions will be governed by the law of Victoria. Entrants accept the non-exclusive jurisdiction of courts and tribunals of Victoria in connection with disputes concerning the Program.
